With changes brought in under the Companies Act 2006, private limited companies now have the option to dispense with the services of a company secretary and many organisations are now using lawyers to carry out many of these associated duties.

In order to achieve this many companies are taking advantage of this change in the law by:

  • Making a small change to the articles (if required) and outsourcing the administrative tasks to a third party, such as their lawyer; or
     
  • Choosing to keep their company secretarial in-house but providing them with professional support with some, or all, of their workload.
